Terms & Conditions

Please read these terms carefully before engaging with Midnyte or using our services.

1. Acceptance of Terms

By accessing our website or engaging with Midnyte's services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our services.

2. Services

Midnyte provides software development, mobile app development, AI product development, and venture studio services. Specific terms for each engagement are outlined in individual service agreements or statements of work.

3. Intellectual Property

Unless otherwise agreed in writing, all work product, code, designs, and deliverables created by Midnyte remain the property of Midnyte until full payment has been received, at which point ownership transfers to the client as specified in the project agreement.

Midnyte retains the right to display completed work in its portfolio unless explicitly agreed otherwise in the project contract.

4. Confidentiality

Midnyte treats all client information as confidential and will not disclose proprietary information to third parties without prior written consent. This obligation survives the termination of any agreement.

5. Payment Terms

Payment terms are defined in individual project agreements. Generally, Midnyte requires an upfront deposit before commencing work. Failure to meet payment obligations may result in suspension or termination of services.

6. Limitation of Liability

Midnyte's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

7. Termination

Either party may terminate an engagement with 30 days' written notice. Upon termination, the client is liable for payment of all work completed up to the termination date.

8. Governing Law

These terms are governed by the laws of Denmark. Any disputes shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark.

9. Changes to These Terms

Midnyte reserves the right to update these terms at any time. Continued use of our services after changes constitutes acceptance of the revised terms.
